That a prospectus must be approved (in the Netherlands and the BES Islands by the Authority for the Financial Markets, and in Curaçao and Sint Maarten by the Joint Central Bank of these countries) does not guarantee that the prospectus is not misleading.

Rights and obligations must be known at all times
Section 2:14 subsection 1 of the Curaçao Civil Code (‘CCC’) provides that every director of a legal entity (NV, BV, foundation or association) is obliged towards the legal entity to perform the duties properly within the sphere of his activities. If there is only one director, the sphere of his activities covers all the duties.

Cross-border financing transactions have links with different jurisdictions, and may include both civil law and Anglo-Saxon jurisdictions. Eens in de paar jaar komt advocaat mr. Eldon “Peppie” Sulvaran met zijn aanval op het Hof van Justitie. Het is steeds hetzelfde verhaal en het gaat steeds om dezelfde beschuldigingen. The validity of a contract can be challenged on various grounds, including error, fraud or undue influence. In the case to be discussed here a contract was entered into by an intermediary. Appellants in cassation (Van Eendenberg) were owners of the parcels on which a preferential right was established pursuant to the (Dutch) Municipalities (Preferential Rights) Act.
