Hoe noem je 100 advocaten op de zeebodem? Precies……. een goed begin! Al eeuwenlang zijn advocaten het mikpunt van spot en figureren zij, vrijwel uitsluitend negatief geportretteerd, in grappen en grollen in allerhande talen en in verschillende culturen. In spreekwoorden, gezegden, zegswijzen en uitdrukkingen figureren advocaten aanzienlijk minder, sterker nog komen zij er zeer bekiiad van af.

Zoals wel vaker dwaalden mijn gedachten af naar het bestaan van een relatie tussen alledaagse zaken en het recht. Ditmaal bevond ik mij staand voor een urinoir op de vijfde etage in de Bijenkorf in Amsterdam in gedachten verzonken op zoek naar de relatie tussen urineren en recht.

Opposing views on political influence

Why would one consider an asset protection strategy? There are individuals and business entities all around the world not trusting their government (e.g. fear for expropriation or nationalization by their government). Or they are seeking legitimate protection from any future downturns. 

A bank has less freedom than an ordinary legal entity

 

What would be the requirements, from a regulatory point of view, if a Curaçao or St. Maarten bank wished to sell its entire business or a substantial part thereof? Would it require approval from the Central Bank of Curaçao and St. Maarten (‘Centrale Bank van Curaçao en St. Maarten’)?

Eens in de paar jaar komt advocaat mr. Eldon “Peppie” Sulvaran met zijn aanval op het Hof van Justitie. Het is steeds hetzelfde verhaal en het gaat steeds om dezelfde beschuldigingen. In een recent wrakingsverzoek, namens zijn cliënten ingediend door mr. Sulvaran tegen één rechter, kwam een vijftien jaar oude kwestie weer naar boven.

An attachment on assets located in Curaçao generally establishes jurisdiction over the cause of action for which the attachment is made, also if neither of the parties involved are domiciled in Curaçao.

Based on error, fraud or undue influence

 

The validity of a contract can be challenged on various grounds, including error, fraud or undue influence. In the case to be discussed here a contract was entered into by an intermediary. Appellants in cassation (Van Eendenberg) were owners of the parcels on which a preferential right was established pursuant to the (Dutch) Municipalities (Preferential Rights) Act.

Their aim is to attract international clients and to serve their local and regional clients internationally. They do so either on an individual basis or within so called network alliances.

Curaçao and St. Maarten Courts will accept the choice of laws

 

One of the questions frequently asked is whether the Courts in Curaçao or St. Maarten, if an action is brought before them, will pay deference to a “choice of governing law” and/or venue provision in an agreement, in particular when the parties have chosen US Law, and a US Court to resolve their disputes.

Vorige week zijn acht voormalige commissarissen van de Nederlandse woningcorporatie Vestia voor een bedrag van 2 miljard euro aansprakelijk gesteld. Reden? Ze hebben zitten dutten terwijl de bestuurders van Vestia (onder wie Eric Staal) ongehinderd een zelfde bedrag hebben verspeeld met zogenaamde renteswaps (‘derivaten’).
