In de Nederlandse Antillen en Aruba bestaat geen verplichte procesvertegenwoordiging. Niet in eerste aanleg en ook niet in hoger beroep. Het is dus altijd de vraag door wie partijen vertegenwoordigd zullen worden in een gerechtelijke procedure.

Restrictions on termination
With regards to damages, the aim thereof is generally to restore the creditor to the position he would have been in had the contract been fulfilled. In case of breach of contract, the damages will usually be assessed by considering the situation the creditor would be in if restored to the position he would have been in had the contract been performed properly, by looking at costs incurred, wasted expenditure, any loss of profits etc

Non-performance as a response to non-performance
Whenever a party to a contract is faced with non–performance by the other party, the party’s first reaction might well be to suspend its part of the contract. In the legal sense of the word, suspending or withholding performance may be described as both a defense and a self help remedy, which a party can use when the other party does not perform its obligations under the contract.

Entitlement to specific performance
Under the Netherlands Antilles Civil Code the demand for specific performance is not a remedy for breach of contract in a strictly legal technical sense. In this system the entitlement to specific performance is a consequence of the duty to perform a (contractual) obligation.

Failure to properly perform
Under the Netherlands Antilles Civil Code (CC) breach of contract is defined as a failure to properly perform, perform on time, or to perform at all, which failure is attributable to one of the parties If a debtor breaches his obligations there are various courses of action available to the creditor.

According to the European Court of Justice, in its decision of 15 October 2009, community law does not include any general principle of law under which minority shareholders are protected by an obligation on the dominant shareholder, when acquiring or exercising control of a company, to offer to buy their shares under the same conditions as those agreed when a shareholding conferring or strengthening the control of the dominant shareholder was acquired.

Recent heeft de Minister van Binnenlandse Zaken en Koninkrijksrelaties op vragen van de Kamer geantwoord dat bij de vastlegging van de Nederlandse taal in de grondwet, ook aandacht zal worden besteed aan de positie van het Engels, Fries en Papiamento. Het Papiamentu heeft zij niet genoemd.

In 2007 heeft de Hoge Raad geoordeeld dat artikel 40 Statuut naar zijn strekking meebrengt dat de rechtskracht van authentieke akten die in Nederland, de Nederlandse Antillen of Aruba zijn verleden, in alle delen van het Koninkrijk gelijk is. Dit betekent volgens de Hoge Raad dat alle delen van het Koninkrijk binnen hun eigen rechtsorde de rechtskracht, en daarmee de rechtsgevolgen, van elkaars authentieke akten moeten aanvaarden, ook als die rechtsgevolgen niet aansluiten bij de plaatselijke opvattingen.

De Raad van Ministers van het land de Nederlandse Antillen heeft een wetsvoorstel gestuurd aan de Raad van Advies dat ertoe strekt dat de verkiezing van de leden van de staten van de Nederlandse Antillen in maart 2010 wordt uitgesteld tot begin 2011. De reden daarvoor is dat de Nederlandse Antillen volgens de met de partners in het Koninkrijk gemaakte afspraken per oktober 2010 een praktisch lege huls wordt.
Duch Caribbean Securities Exchange

On May 5, 2009 the Dutch Caribbean Securities Exchange N.V. ("DCSX") was incorporated. DCSX is scheduled to become operational in the Fall of 2009. With this establishment, another important step was taken towards the realization of the long awaited Exchange that will provide a time- and cost-efficient listing for international corporations and investment funds, furnishing an alternative to the Anglo-Saxon (regional) exchanges in other jurisdictions.

There is an increasing interest of International companies to explore and extract natural gas and petroleum in parts of the Caribbean sea area where Curaçao and Bonaire are situated. This is a positive development as this could give the economies of the Dutch Caribbean a significant boost and add to the worlds proven reserves.

Bonaire, St. Eustatius and Saba (BES)
Within a couple of years, the BES Islands, as public entities, will be part of the country of the Netherlands in the framework of the political restructuring in the Kingdom of the Netherlands. The US dollar will be introduced as the new currency in the BES Islands. Curacao and St. Maarten will each become a country within the Kingdom of the Netherlands and have their own legislation and regulations.

De BES-eilanden zullen in het kader van de staatkundige hervormingen in het Koninkrijk der Nederlanden binnen enkele jaren als openbare lichamen onderdeel gaan uitmaken van het land Nederland. Op de BES-eilanden zal de US Dollar als nieuwe valuta worden ingevoerd. Curacao en Sint Maarten worden ieder een land binnen het Koninkrijk der Nederlanden met elk hun eigen wet- en regelgeving.
